These Terms & Conditions apply to business inquiries, consulting services, sourcing activities, commercial coordination, trading support and supply-related services provided by Shartech e.U., unless otherwise agreed in writing.
Individual written agreements, quotations, order confirmations or project contracts prevail over these Terms & Conditions where they contain different provisions.

Shartech e.U. provides consulting and trading support for international customers in relation to industrial machinery, production equipment, technical components, spare parts, raw materials and selected industrial commodities.
Services may include supplier search, offer evaluation, technical clarification, communication with suppliers, commercial coordination, document support and assistance with logistics or delivery coordination.
All offers, product information, availability statements and price indications are non-binding unless expressly confirmed in writing as binding.
A contract is concluded only after written confirmation by Shartech e.U. or after the signing of a specific purchase, consulting, agency, sourcing or project agreement.
Unless otherwise stated in writing, prices are net prices and exclude VAT, customs duties, import charges, bank charges, insurance, transport, inspection and other third-party costs.
Payment terms, currency, due dates, advance payments and payment security must be agreed separately for each transaction or project.
Delivery conditions are determined by the agreed Incoterms or by the relevant written agreement. Risk, cost allocation and responsibility for transport, insurance, customs clearance and import formalities depend on the agreed delivery term.
Delivery times are estimates unless expressly confirmed as binding. Delays caused by suppliers, carriers, customs authorities, force majeure or third parties are not the responsibility of Shartech e.U., unless caused by intent or gross negligence.
Technical data, specifications, certificates, images and descriptions are generally based on supplier or manufacturer information. Customers are responsible for confirming that requested products are suitable for their intended technical, legal and commercial use.
For used, refurbished or special industrial equipment, the exact condition, scope of delivery, inspection requirements and acceptance criteria must be agreed separately.
All transactions are subject to applicable export control, sanctions, customs, anti-money-laundering and compliance rules. Customers and business partners must provide all required end-user, end-use, customs, banking and compliance information when requested.
Shartech e.U. may refuse, suspend or terminate a transaction if there is a legal, regulatory, banking, sanctions, export-control or reputational risk.
Statutory warranty rights remain unaffected where mandatory law applies. For B2B transactions, warranty terms may be limited or specified in the individual contract.
Shartech e.U. is liable only for direct damages caused by intent or gross negligence, unless mandatory law provides otherwise. Liability for indirect damages, loss of profit, production loss, business interruption or consequential damages is excluded to the extent legally permissible.
Where Shartech e.U. acts as seller, delivered goods remain the property of Shartech e.U. until full payment has been received, unless otherwise agreed in writing or prohibited by applicable law.
Prices, supplier contacts, customer contacts, technical documents, commercial structures, correspondence and transaction details must be treated confidentially and may not be disclosed to third parties without prior written consent.
Shartech e.U. is not liable for delays or non-performance caused by events beyond reasonable control, including but not limited to war, sanctions, export restrictions, strikes, transport disruptions, energy shortages, natural disasters, governmental measures, customs delays or supplier failures.
Personal data provided through the website or during business communication will be processed only for handling inquiries, business communication and contract-related purposes in accordance with applicable data protection laws.
These Terms & Conditions are governed by Austrian law, excluding conflict-of-law rules. For B2B transactions, the competent court in Vienna, Austria, shall have jurisdiction unless another venue is agreed in writing.
If any provision of these Terms & Conditions is or becomes invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes as close as possible to the intended economic purpose.
